Why are Nicolet Bank and MidWestOne Bank merging?
This partnership combines our resources and people to serve customers and communities in the Upper Midwest. We believe the best way to meet local needs is through local resources, now more than ever. Working together, we can help make the communities we serve stronger.
What’s new?
After the close of business on February 13, 2026, MidWestOne will operate as a division of Nicolet National Bank. This means we will be under one ownership while continuing to operate separately until later in the year, when we will consolidate operations into Nicolet National Bank. You will see an addition in the MidWestOne logo to include “A Division of Nicolet Bank.”
What’s not changing?
One thing that will not change with this merger is our focus on staying local. Decisions about banking-related matters and investments in the community will be made by those closest to the customer. Local decision-making is one of the key differences between us and our larger competitors.
What is the difference between legal day one and operational day one?
Legal: After the close of business on February 13, 2026, MidWestOne will operate as a division of Nicolet National Bank.
Operational: We plan to consolidate operations under a single entity, Nicolet National Bank, with completion anticipated in Q3 2026.
Do customers need to do anything right now regarding the upcoming changes?
No action is required at this time. It’s business as usual for both companies. While a lot will happen between now and the closing date, there’s nothing customers need to do right now.
What’s next?
As we draw closer to the operational merger later in 2026, you will receive letters from Nicolet National Bank about your products and services, and what will happen next when we become one bank.
How will you keep customers informed?
We will share updates as soon as decisions are finalized and confirmed. Transparency and communication are priorities throughout this process.
What is different?
MidWestOne Bank’s privacy notice indicated that there is no sharing with affiliates for everyday business purposes and marketing. Nicolet’s privacy notice indicates that we do share with affiliates.
What is Nicolet’s affiliate?
Nicolet shares with Nicolet Advisory Services, LLC. Nicolet Advisory Services, LLC is a registered investment advisor.
How is information shared?
Nicolet uses one centralized CRM system. Customer information is stored in this system and is accessible by all departments of Nicolet. Because multiple divisions can view and use this information, it is considered sharing under privacy regulations.
Sharing information in one internal system helps us keep accounts running smoothly, follow the law, and offer products and services. The purpose is to provide the best service possible, by providing all bankers access to critical information. We share info with our Nicolet teams for everyday banking, marketing services, and with partner companies.
Why does Nicolet share?
So that we understand our entire customer relationship. We don’t use the information for “cold calling”. We use the information to make sure we are prepared to meet all of our customers’ banking needs.
If I want to opt out of information sharing, what should I do?
You can opt out by completing the form included in your privacy notice and mailing it to the address provided. You may also visit any MidWestOne branch, where our team will be happy to assist you and record your opt‑out request. If you choose to opt out, we may have a more limited view of your relationship, which can affect our ability to serve you effectively.
When will my accounts or services change?
We are in the early stages of the merger, and any decisions affecting customer accounts will be communicated clearly and with advanced notice. There is no customer action required at this time.
